Terms & Conditions of Service

These Terms & Conditions ("Terms") constitute a legally binding agreement between Areeb Syed Enterprises ("Enterprise", "we", "us", or "our"), a registered Indian sole proprietorship represented by its proprietor Areeb Syed, and any individual, enterprise, or corporate entity ("Client", "you", or "your") commissioning software engineering, web application development, or IT consultancy services.

1. Scope of Engagement

Areeb Syed Enterprises provides bespoke software development, backend engineering, API architecture, payment gateway integration, and technical advisory services. The precise functional scope, technical stack, deliverables, milestones, and delivery timeline for any specific project are defined in a formal, written Service Agreement or Statement of Work (SOW) executed between the parties.

2. Quotations, Estimates & Price Validity

• All formal quotations and proposals issued in writing by Areeb Syed Enterprises are valid for 30 calendar days from the date of issuance.
• All prices are quoted and billed exclusively in Indian Rupees (INR).
• GST Status: GST is not applicable / not registered as enterprise turnover is beneath the statutory threshold under Section 22 of the Central Goods and Services Tax (CGST) Act, 2017. If statutory registration applies in the future, applicable taxes will be itemized in compliance with law.
• Any verbal discussion or exploratory estimate is non-binding until confirmed in an approved written quotation.

3. Payment Schedule & Invoicing

• Advance Requirement: Unless explicitly agreed otherwise in a written contract, projects require an advance milestone payment (typically 50% of total project value) before engineering begins.
• Payment Processing: All electronic payments must be made against an authorized invoice reference number and processed through our designated Reserve Bank of India (RBI) authorised payment aggregators (supporting UPI, Cards, and Net Banking) or verified institutional bank transfer (NEFT/RTGS).
• Dispute Holding: Non-payment of milestone balances within 7 calendar days of milestone verification entitles the Enterprise to pause ongoing deployment or withhold source code release until accounts are cleared.

Timely project execution relies upon mutual cooperation. The Client agrees to:

• Provide necessary technical prerequisites, API credentials, hosting access, and business requirements promptly.
• Review milestone staging previews and provide consolidated revision feedback within 5 business days of demonstration.
• Ensure that all content, logos, proprietary materials, and assets supplied to the Enterprise do not infringe upon third-party copyrights or intellectual property.

6. Revisions & Scope Modifications

• Each engagement includes a defined number of revision cycles (as specified in the package description or SOW) to adjust layouts, typography, workflows, and functional logic within the agreed scope.
• Any requests involving new capabilities, fundamental database restructuring, or third-party integrations not specified in the original SOW will be evaluated as a change order and quoted separately in writing.

7. Limitation of Liability

To the maximum extent permitted by applicable Indian law:

• In no event shall Areeb Syed Enterprises or its proprietor be liable for indirect, incidental, consequential, special, or punitive damages, including loss of business profits, data corruption, or operational interruptions.
• The maximum aggregate liability of Areeb Syed Enterprises arising out of or related to any project, under contract, tort, or otherwise, shall be strictly capped at the actual amount paid by the Client to the Enterprise for the specific milestone in dispute.

8. Confidentiality & Non-Disclosure

Both parties agree to treat all business information, technical architectures, proprietary algorithms, financial details, and client data received during the engagement as strictly confidential. Confidential information shall not be disclosed to any third party without prior written authorization, except as required by law or judicial process.

9. Termination of Engagement

• Either party may terminate the engagement upon 14 calendar days' written notice if the other party breaches a material term of the agreement and fails to remedy the breach within such notice period.
• Upon termination, the Client shall pay for all verified engineering hours and completed milestones delivered up to the termination date. Handling of refunds for uncompleted milestones is governed by our Refund & Cancellation Policy.

10. Prohibited Use & Regulatory Compliance

The Enterprise will not develop, support, or integrate systems associated with unlawful activities under Indian law, including gambling, unauthorized financial speculation, adult content, fraudulent schemes, or unlicensed pharmaceutical sales.
